Terms of Service
1. Who We Are
ZIV ("we", "us", "our") is operated by ZIV Live, Inc., a Delaware corporation. Our registered office is c/o Legalinc Corporate Services Inc., 131 Continental Dr Suite 305, Newark, DE 19713, United States.

2. What These Terms Cover
These Terms of Service ("Terms") govern your access to and use of ZIV, including:
- Creating and administering Events as a Host
- Creating a demo, and contributing to one
- Contributing photos or videos to an Event Gallery as a Guest
- Accessing or viewing any Event Gallery, Canvas, or archive through a web browser or digital device
- Purchasing any paid Event
You accept these Terms in full when you create an account or a demo, or, as a Guest, before your first upload to an Event. Viewing or saving an Event's media needs no account and no acceptance; Section 7.8 and Section 9 still apply to anyone who reaches ZIV. A demo is an Event for every purpose of these Terms: everything that applies to a paid Event, its Host and its Guests applies in full to a demo, its creator and its Guests. If you are using ZIV on behalf of an organisation, you represent and warrant that you have authority to bind that organisation.
3. Accounts and Participation
3.1 Host accounts. To create and administer Events, you must register for a Host account. Accounts are created only through ZIV's sign-up, and only by invitation while sign-ups are invite-only. Creating an account is acceptance of these Terms in full; when they change, you accept the updated version before you next use your account. You are responsible for keeping the email account you sign in with secure, since anyone who controls it can sign in, and for all activity occurring under your account.
3.2 Guest participation and acceptance. Guests take part in Events without creating an account, through a link or QR code provided by the Host (e.g., /e/[code]). Guests view and save an Event's media without accepting these Terms. Before their first upload to an Event, a Guest is shown these Terms beside the upload button, and tapping it is the Guest's acceptance of them in full, specifically including the content and depiction warranties in Section 7.1, the acceptable use rules in Section 9 and the indemnification obligations in Section 13. ZIV records the version of these Terms accepted and when, and carries that record with each upload. Whoever creates a demo accepts these Terms in full by creating it. If you do not agree to these Terms, do not upload to ZIV or create a demo.
3.3 Age requirements. You must be at least 13 years old to create an account or a demo, or to upload as a Guest. If you are between the ages of 13 and 18, you represent that you have parental or guardian consent to use the service.
3.4 Staff access. ZIV staff may access your account to provide support or to investigate a breach of these terms. They cannot make payments, change your email or delete your account, and every access is recorded.
4. Plans and Pricing
ZIV offers the following tiers:
- moment: per-event purchase ($5) with standard capabilities, unwatermarked downloads, up to 1,000 uploads, video clips up to 512MB, and a 3-day unified active lifecycle for guest uploads, gallery display, and host access, starting with the Event's first upload. Canvas projection is not included.
- memory: per-event purchase ($20) with unlimited photos, video clips up to 1GB, unwatermarked downloads, Canvas projection, full bulk ZIP download, and a 3-week unified active lifecycle starting with the Event's first upload.
- milestone: per-event purchase ($50) with tailored branding kit, video clips up to 2GB, unwatermarked downloads, Canvas projection, full bulk ZIP download of the uploaded files at full resolution, and a 3-month unified active lifecycle starting with the Event's first upload.
Current pricing, feature matrices, and plan limits are published on our Pricing Page. Prices are stated in USD and exclude applicable taxes unless stated otherwise. We reserve the right to modify pricing upon 30 days' advance notice to existing subscribers.
4a. Personal Use
All tiers listed in Section 4 are provided exclusively for personal, non-commercial use by individual consumers.
Personal use defined: Events organized by an individual Host for their own personal, celebratory, or social occasions: weddings, birthdays, anniversaries, family gatherings, reunions, and similar personal milestones. The Host is a private individual not acting in the course of a trade, business, or commercial activity.
Commercial use restrictions: The following activities fall outside personal use and are strictly prohibited on personal consumer tiers:
- Operating recurring Events as part of a commercial venue, hospitality business, or commercial promotion (such as bars, restaurants, venues, or commercial promoters utilizing ZIV as an ongoing commercial amenity)
- Charging Guests or attendees, directly or indirectly, for access to an Event Gallery, Canvas, or archive
- White-labeling, reselling, or embedding ZIV as a paid feature within a third-party commercial platform
- Generating Events at an automated, bulk, or commercial volume inconsistent with personal social hosting
- Any similar commercial, promotional, or high-volume agency use, as determined in the sole discretion of ZIV
ZIV reserves the right to enforce fair-use concurrency caps (such as limits on concurrent active Events) and to suspend or terminate accounts that exhibit commercial patterns, automated bulk generation, or commercial agency volume.
Commercial venues, corporate event organizers, and professional organizations requiring enterprise licensing should contact enterprise@ziv.live for commercial terms.
5. Payments and Billing
5.1 Billing. Per-Event purchases are billed at the time of purchase.
5.2 Taxes. You are responsible for any applicable sales tax, VAT, or goods and services taxes, unless we are required by applicable law to collect and remit them.
5.3 Payment processing. Payments are processed through our authorized third-party payment processors. Your payment card details are transmitted directly to the payment processor and are never stored on ZIV servers.
6. Cancellations and Refunds
6.1 Per-Event purchases. You are eligible for a full refund on a paid per-Event purchase if both of the following conditions are met:
- The refund request is submitted within 24 hours of purchase, and
- The Event has received zero Guest uploads since the time of purchase.
Once Guests have commenced uploading to a paid Event, or after 24 hours have elapsed, digital performance has commenced and the purchase is non-refundable. Activating and sharing a custom vanity slug on a milestone Event constitutes active use of a milestone-exclusive feature.
6.2 Service unavailability. If ZIV experiences an extraordinary, documented service outage exceeding 15 to 30 consecutive minutes during your scheduled active Event, contact billing@ziv.live for case-by-case evaluation of service credits or partial refunds.
6.3 Request procedure. To request an eligible refund, email billing@ziv.live with your account email address and order confirmation number. Approved refunds are credited to the original payment method within five to ten business days.
6.4 Chargeback protocol. Hosts agree to contact billing@ziv.live to resolve billing disputes prior to initiating a bank chargeback. Initiating an unauthorized chargeback may result in temporary account suspension pending dispute resolution.
6.5 Statutory consumer rights. Nothing in this section affects non-waivable statutory rights under applicable consumer protection law:
- Under European Union and United Kingdom consumer rules, consumers have a statutory 14-day right to cancel digital contracts. However, by ticking the box at checkout, you expressly consent to immediate performance and acknowledge that your right of cancellation is lost once digital delivery begins. This applies to every purchase, including tier upgrades and the Milestone Studio™ add-on.
7. Content and Intellectual Property
7.1 Ownership, license, and content warranties. You and your Guests retain full ownership and copyright of all photos, videos, and media contributed to ZIV ("Your Content"). By uploading or contributing Your Content, you grant ZIV Live, Inc. a worldwide, non-exclusive, royalty-free, transferable license (with right to sublicense to our operational infrastructure providers) to host, store, cache, process, transcode, format, resize, optimize, analyze for safety compliance, extract operational file properties, sanitize metadata, display, and deliver Your Content solely for the purpose of operating, protecting, and providing the service to you and your authorized participants.
By uploading or submitting Your Content (whether as a Host or an unauthenticated Guest), you represent and warrant that: (a) You own all rights in and to Your Content, or possess all necessary licenses, permissions, clearances, and releases required to contribute it and grant the license above; (b) You have secured explicit consent and permission from all identifiable individuals depicted in Your Content (or from their parent or legal guardian if a minor is depicted) to capture, upload, and display their likeness within the Event Gallery and Canvas; (c) Your Content does not infringe, misappropriate, or violate any copyright, trademark, patent, trade secret, privacy, publicity, or other proprietary or personal rights of any third party; and (d) Your Content strictly complies with these Terms, including Section 9.
7.2 No Watermarks. All downloaded photos and exported media across all tiers are unwatermarked and delivered without platform branding overlays.
7.3 Content responsibility and moderation oversight. Individual uploaders are responsible for the media they contribute. Hosts are responsible for administrative oversight of their Events, including monitoring their Event Galleries and utilizing moderation controls to hide or remove inappropriate content brought to their attention. All content must comply with Section 9.
7.4 Automated safety screening. To protect users and satisfy statutory obligations, uploads are subject to automated screening, algorithmic content analysis, and verification against known abuse indicators. These systems operate continuously, but automated screening depends on third-party services and may be temporarily degraded or unavailable. Content identified as unlawful, abusive, or violating our policies may be blocked, quarantined, referred to competent authorities as required by law, or deleted without prior notice. Uploads that arrive through anonymity networks such as Tor are held for Host review.
7.5 ZIV intellectual property. ZIV's names, wordmarks, logos, user interfaces, visual designs, software code, and documentation are the exclusive proprietary property of ZIV Live, Inc. You may not reproduce, modify, distribute, or reverse-engineer our platform without our prior written authorization.
7.6 Metadata and privacy sanitization. ZIV may inspect technical file attributes to properly orient and render media across devices. To protect participant privacy and prevent unintended exposure of personal data, ZIV reserves the right to strip, filter, or sanitize embedded device, location, or technical metadata from media files prior to display or download, and may record in a file that it was processed by ZIV. That record names ZIV as processing software only; it is not a claim of authorship or ownership.
7.7 Digital Millennium Copyright Act (DMCA) notice and takedown procedure. ZIV Live, Inc. respects the intellectual property rights of others and complies with the safe harbor provisions of the Digital Millennium Copyright Act (17 U.S.C. § 512). If you believe in good faith that any content hosted or displayed on ZIV infringes your copyright, you or your authorized agent may submit a formal notification of claimed infringement to our designated DMCA Agent.

Statutory notice requirements: To be legally effective under 17 U.S.C. § 512(c)(3), your notice must be in writing and include all of the following:
- A physical or electronic signature of a person authorized to act on behalf of the copyright owner;
- Identification of the copyrighted work claimed to have been infringed (or a representative list of works);
- Identification of the material claimed to be infringing, with information reasonably sufficient to permit us to locate the material (such as the specific Event short-code, gallery URL, or image timestamp);
- Contact information for the complaining party, including legal name, mailing address, telephone number, and email address;
- A statement that you have a good-faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and
- A statement, made under penalty of perjury, that the information in the notification is accurate and that you are authorized to act on behalf of the owner of the exclusive right that is allegedly infringed.
Counter-notification procedure: If you believe that your uploaded content was removed or disabled as a result of mistake or misidentification, you may submit a written counter-notification to our DMCA Agent pursuant to 17 U.S.C. § 512(g)(3). Upon receipt of a valid counter-notification, ZIV will promptly forward a copy to the complaining party. Unless the copyright owner files an action seeking a court order against the uploader within 10 to 14 business days, the removed content may be restored at ZIV's discretion.
Repeat infringer policy: In accordance with 17 U.S.C. § 512(i), ZIV maintains a policy of terminating repeat infringers. A "strike" is a DMCA takedown notice against a Host's account that is not withdrawn by the complaining party and not reversed by a successful counter-notification. A Host account that accumulates three strikes within a rolling 12-month period will have its account, and all associated Events and content, permanently terminated without refund. ZIV reserves the right to terminate an account sooner, before reaching three strikes, for egregious or willful infringement.
7.8 Media you save. Saving a photo or video from an Event, or requesting its archive, gives you a copy for your personal use. It transfers no rights: each item belongs to whoever uploaded it, and the people shown in it keep their rights in their likeness. You must not sell, publish or post another person's media, or use it to harass, shame or identify anyone, without the uploader's permission and, where the law requires it, the consent of the people shown. ZIV does not monitor or control media after you save it.
8. Unified Active Lifecycles, Storage, and Data Retention
8.1 Unified Active Lifecycle. ZIV collapses guest uploads, Canvas display, public gallery access, and administrative archive access into a single unified Active Lifecycle, measured from the Event's first upload:

8.2 Expiration and automated purge. Each Event has a strict operational lifecycle governed by an expires_at timestamp:
- Demo Events expire three hours after creation.
- Moment Events expire 72 hours after their first upload.
- Memory Events expire at 23:59:59 UTC on the 21st day after their first upload.
- Milestone Events expire at 23:59:59 UTC three calendar months after their first upload, or on the last day of that month where it is shorter.
Guest uploads are closed when an Event is purchased, and open when the Host opens them. Opening uploads does not start the lifecycle; the first upload accepted afterwards does. Until then an Event has no expires_at and holds no media. Closing uploads later does not pause the lifecycle. Upgrading an Event whose lifecycle has begun restarts it: the new tier's full lifecycle runs from the time the upgrade is applied.
Upon reaching expires_at, the Event ends: its Gallery, Canvas, and Event Admin close, and it is not reopened, revived, or extended afterwards, by support, by upgrade, or otherwise. A courtesy archive window follows (one day for Moment, three days for Memory, ten days for Milestone) during which the Event's archive can be downloaded only through one-use links sent by email from the concluded Gallery page. The window is a courtesy for archive downloads only, not additional lifecycle time. When it closes, all associated raw media files, display copies, and thumbnails are permanently and irreversibly purged from ZIV infrastructure. ZIV does not provide perpetual, indefinite, or open-ended cloud storage. Hosts are strongly encouraged to download their complete Event archive before the scheduled expires_at timestamp.
8.3 Host administrative visibility controls. Hosts retain granular controls within their Event Admin dashboard to open and close Guest uploads, and to close Gallery and Canvas display, at any time prior to the expiration date. A Host, collaborator or moderator may also freeze Guest uploads in an emergency, which pauses them until resumed and leaves the Gallery on display. Early administrative restrictions do not alter or extend the Event's underlying expires_at timestamp or purge schedule.
8.4 Inactivity auto-closure and anti-CDN fair use. To maintain platform performance, prevent automated content scraping, and curb de facto Content Delivery Network (CDN) exploitation, Events that experience no genuine participant upload or viewer interaction for a consecutive period of fourteen (14) days (or thirty (30) days for Milestone tier) are automatically placed into an inactive sleep mode, closing guest uploads and public gallery display. Hosts retain the unrestricted right to reactivate their Event Gallery and reset the inactivity timer at any time via their Event Admin dashboard for the duration of their plan's active lifecycle. Inactivity auto-closure does not delete media assets or modify the underlying expires_at retention schedule.
8.5 Account deletion is full erasure. Deleting your account (self-service or by request) permanently purges all owned Events' media immediately, regardless of any remaining time on an Event's active lifecycle. Download your archive before deleting your account if you wish to retain it.
9. Acceptable Use
ZIV is for capturing, displaying, and preserving memories from real-world social occasions: parties, weddings, reunions, trips, celebrations, and group gatherings. This Section binds Hosts, anyone who creates a demo, and Guests, at every Event, paid or demo. Violations may result in content removal, account suspension, or termination without refund. Serious violations, particularly involving illegal content, will be reported to law enforcement.
9.1 Prohibited conduct. You agree not to use ZIV to:
- Violate any applicable local, state, national, or international law
- Mislead, phish, or defraud others
- Transmit malware, viruses, or malicious payloads
- Circumvent, tamper with, or probe content moderation, authentication tokens, rate limits, security filters, or access controls
- Scrape, harvest, or bulk-extract media or platform data without authorization, or overwhelm the platform with automated scrapers, bots, or bulk-harvesting tools
- Use ZIV, Event Galleries, or storage infrastructure as a general-purpose Content Delivery Network (CDN), file-hosting mirror, or continuous media embed for third-party websites, apps, forums, or automated external feeds
- Use personal plans for unauthorized commercial ventures in violation of Section 4a
- Resell or sublicense access to the platform without prior written agreement
9.2 Prohibited content. You must not upload, display, record, or share content that:
(a) Is illegal or severely harmful
- Depicts child sexual abuse material (CSAM) or child sexual exploitation and abuse (CSAE). Any such content will be immediately hard-blocked, preserved in a secure quarantine environment, and reported to the National Center for Missing and Exploited Children (NCMEC) and law enforcement authorities.
- Depicts non-consensual sexual content or intimate imagery shared without consent ("revenge porn"). This applies at every Event, whatever the Host allows.
- Depicts sexually explicit acts. Nudity is not by itself sexually explicit, and the Event Host decides whether it is shown.
- Depicts real acts of extreme violence or serious injury, or is intended to incite violence or self-harm. Costumes, makeup, and other staged depictions are not real violence, and the Event Host decides whether they are shown.
- Promotes, supports, glorifies, or recruits for terrorism or violent extremism, including the propaganda of terrorist or violent extremist organisations
- Facilitates or promotes criminal activity, unlawful weapons transactions, or illegal drug trafficking
(b) Violates personal privacy and consent
- Depicts identifiable individuals without their knowledge, consent, or permission, or disregards an individual's explicit request not to be photographed or recorded
- Was recorded surreptitiously or in spaces with a reasonable expectation of privacy (such as restrooms, changing rooms, locker rooms, or private bedrooms)
- Violates wiretapping or eavesdropping laws by recording private audio conversations without required consent under applicable law
- Harasses, bullies, stalks, defames, or threatens specific individuals
- Discloses sensitive personal data (such as identity documents, financial information, or home addresses) without authorization
(c) Infringes intellectual property
- Infringes copyrights, trademarks, patents, or other proprietary rights. Incidental ambient background audio (for example, music playing at a venue during a video recording) is permitted for personal, non-commercial Event captures, but uploading commercial recordings, full performances, or ripped media as standalone content is strictly prohibited. Copyright notices follow Section 7.7.
9.3 Children and minors. ZIV is for users aged 13 and older (Section 3.3).
- Family and children's celebrations: Hosts are welcome to use ZIV to celebrate family milestones and children's occasions (such as birthdays, sports games, or family reunions), provided that the Host and the uploading Guests are adults or teens aged 13 or older.
- No child operators: Hosts must not distribute Event QR codes or upload links to children under 13, nor permit children under 13 to upload photos, videos, or personal data directly to the platform.
- Data removal: If personal data is determined to have been submitted directly by a child under 13 without statutory parental verification, ZIV will promptly delete that data.
9.4 Host responsibilities. As an Event Host, the Host administers the Event and the Gallery. While ZIV provides automated moderation tools, Hosts are responsible for the oversight of their Event space:
- Audience expectations: Informing Guests that the Event utilizes a shared digital Gallery and Canvas where uploads are visible to Event participants.
- Appropriate configuration: Selecting available Event moderation settings, upload toggles, and access controls suited to the Event's audience.
- Prompt administration: Using Host moderation controls (approving, rejecting, or deleting photos, or pausing uploads) to promptly address any objectionable content brought to the Host's attention.
- Honoring removal requests: Promptly removing photos or videos of any attendee who requests that their likeness be taken down from the Gallery.
- No encouragement of abuse: Hosts must not promote, encourage, or knowingly permit Guests to upload prohibited content.
Automated moderation tools assist Hosts but do not relieve Hosts of their administrative oversight over their Event Gallery.
9.5 Content moderation and safety. In addition to the automated screening described in Section 7.4:
- Zero-Tolerance Enforcement: Known child sexual exploitation material and other severely unlawful content is blocked immediately, preserved as required by law, and reported to law enforcement and clearinghouses including the National Center for Missing and Exploited Children (NCMEC). Such material cannot be viewed, accessed, or restored.
- Host Review Controls: Depending on the Event settings selected by the Host, uploads may appear immediately in the Gallery, be screened automatically and held for review, or wait for review before display. Hosts choose how sensitive automated screening is for nudity, suggestive content and violence, may allow any of them without screening, may hold every upload or every video for review, and may hold uploads from countries they do not expect. Location is estimated from the connection and may be wrong.
- In-Gallery Reporting: Guests can report any image directly through the Gallery viewer interface. Reports are surfaced to the Host for review, and an image reported by multiple Guests is automatically withdrawn from the Gallery pending that review. On a demo, reports go to ZIV, and an image reported by multiple Guests is withdrawn for the rest of the demo.
- Guest Self-Deletion: Where technically supported, Guests may have the option to delete their own recently uploaded photos directly from the Gallery interface while using the same device and browser session. Because Guest participation does not require an account, this capability relies on temporary local session credentials and cannot be guaranteed if browser data is cleared, if a different device is used, or after an Event concludes. In such cases, removal requests should be directed to the Event Host.
Automated moderation is an assistive tool, not a guarantee of an error-free space.
9.6 Reporting violations. If content is encountered that violates this Section, report it directly via the in-app report button on the photo, or email abuse@ziv.live with:
- The Event code or URL
- The photo or video in question (or a screenshot/description)
- The reason for the report
Copyright infringement is reported under Section 7.7.
9.7 Enforcement and remedies. ZIV reserves the right, at its sole discretion, to:
- Immediately remove or disable access to any content that violates this Section or applicable law
- Temporarily or permanently suspend Host accounts or Guest access permissions without refund
- Isolate and retain evidence of illegal content for law enforcement referral
- File formal incident reports with NCMEC or law enforcement authorities where required or warranted
Removal orders and requests from governments and other authorities are received and acted on by ZIV. No government or authority has direct access to remove content from ZIV.
Human rights. ZIV is committed to respecting human rights in line with the UN Guiding Principles on Business and Human Rights. We apply this Section to prevent harm and to comply with the law, not to restrict lawful expression beyond what it requires, and we enforce it proportionately. Anyone who believes content was removed or an account was restricted in error can request a review at support@ziv.live.
Failure to enforce this Section in any specific instance does not constitute a waiver of the right to enforce it in the future.
10. Account Deletion and Termination
10.1 Termination by you. You may terminate your account at any time by requesting account deletion via your account settings or by contacting privacy@ziv.live. Deleting a Host account permanently purges all associated Events, Galleries, and media archives. ZIV does not retain or host orphaned Event data once an account is deleted.
10.2 Suspension and termination by ZIV. We reserve the right to suspend or terminate accounts or Event access, with or without notice, in the event of material violations of these Terms, non-payment, or statutory necessity. Where feasible and lawful, we will provide reasonable notice to allow you to export your media.
10.3 Survival. Upon termination, all licenses granted to you terminate immediately. Provisions that by their nature survive termination (including intellectual property ownership, warranty disclaimers, limitation of liability, and governing law) will continue in full effect.
11. Disclaimers
Except as expressly provided in Section 6.2, ZIV is provided strictly on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that service operation will be uninterrupted, error-free, or entirely secure, or that media will be preserved without risk of accidental loss. Hosts are strongly encouraged to maintain independent local backups of important memories.
12. Limitation of Liability
To the maximum extent permitted by applicable law, ZIV Live, Inc. and its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or personal distress, arising out of or related to your use of or inability to use the platform.
In no event shall ZIV's aggregate cumulative liability arising out of or related to these Terms or the service exceed the greater of: (a) the total amounts paid by you to ZIV for the specific Event giving rise to the claim, or (b) $100 USD.
Nothing in these Terms limits liability that cannot be excluded under applicable law, including liability for gross negligence, willful misconduct, or fraud.
13. Indemnification
You agree to defend, indemnify, and hold harmless ZIV Live, Inc., its affiliates, officers, directors, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees and court costs) arising out of or related to: (a) Your Content, including any claims that media uploaded or contributed by you or your Guests infringes, misappropriates, or violates any third-party copyright, trademark, privacy, publicity, or other proprietary or personal rights, or causes reputational or emotional harm; (b) Your violation of these Terms; (c) Your violation of any applicable local, state, federal, or international law, statute, or regulation; (d) Any disputes between Hosts and Guests, or between event attendees, arising out of or related to participation in an Event, media contributions, or the Host's administration, curation, moderation, or publication of an Event Gallery; or (e) In the case of Hosts, any claims arising from the commercial use, public projection, or redistribution of Event media.
ZIV reserves the right, at your expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you agree to cooperate fully with ZIV in asserting any available defenses.
14. Governing Law and Dispute Resolution
14.1 Governing law. These Terms, their interpretation, and any disputes arising out of or related to them or the service shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to choice-of-law or conflict-of-law principles.
14.2 Informal resolution. Before initiating any formal legal proceeding or arbitration, you and ZIV agree to attempt in good faith to resolve any dispute informally. You must send written notice of the dispute to legal@ziv.live. If the dispute is not resolved within 30 days after notice is delivered, either party may initiate binding individual arbitration.
14.3 Binding individual arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms, the service, or the breach, termination, enforcement, interpretation, or validity thereof shall be determined by final and binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration provision. The arbitrator possesses exclusive authority to resolve any dispute relating to the interpretation, applicability, or enforceability of this agreement.
14.4 Class action and jury trial waiver. You and ZIV agree that any dispute resolution proceedings will be conducted solely on an individual basis and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. You and ZIV expressly waive any right to trial by jury and any right to assert or participate in any class-action lawsuit or class-wide arbitration against the other party.
14.5 Forum for non-arbitrable matters. To the extent that any claim or dispute is deemed not subject to arbitration by law or court order, you and ZIV agree that such action shall be instituted exclusively in the state or federal courts located in the State of Delaware, and each party irrevocably submits to the personal jurisdiction and venue of such courts.
15. Changes to These Terms
We may update these Terms from time to time. For material changes, registered Hosts will be notified by email or through the admin dashboard at least 30 days prior to the effective date. Continued use of ZIV following the effective date constitutes agreement to the updated Terms.
